Terms of Use
LUCID by HORUS NeuroTechnologies
Effective date: October 6, 2026
These Terms of Use ("Terms") are a binding agreement between you and HORUS NeuroTechnologies LLC ("HORUS", "we", "us" or "our") about your use of LUCID, including the LUCID website at https://lucid.horusneuro.com, the LUCID application, and any related services, content and support (together, "LUCID"). Please read them carefully. By creating an account, starting a free trial, purchasing a plan or otherwise using LUCID, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use LUCID.
If you use LUCID on behalf of an organization, you confirm that you have authority to accept these Terms for that organization, and "you" includes that organization. Organizations that need different terms, including a business associate agreement, should contact us for a separate written agreement, which will control where it differs from these Terms.
1. Who may use LUCID
LUCID is a professional tool for licensed health care professionals and for clinicians in training who use it under appropriate supervision. To use LUCID you must be at least 18 years old, able to form a binding contract, and not barred from using the service under the laws that apply to you. LUCID is not intended for patients, caregivers or members of the public, and it must not be used to give medical advice directly to patients.
We confirm your email address when you sign up, and we ask you to confirm your professional status within 14 days, with your National Provider Identifier (NPI) or, outside the United States, your professional license. We may limit or end access if the information is missing, inaccurate or cannot be verified.
2. Clinical decision support, not medical advice
LUCID presents published clinical practice guideline recommendations, related evidence and calculation tools so that health care professionals can review them. LUCID is designed to support, and not to replace, the independent clinical judgment of a qualified professional. In particular:
- You make the clinical decisions. Every recommendation is shown with its basis, including its source, class of recommendation and level of evidence, so that you can review it yourself. You are solely responsible for all decisions about diagnosis, treatment and care, and for confirming that any information is appropriate for a particular patient.
- Guidelines and evidence change. Guidelines may be revised, corrected or superseded, newer evidence may not yet be reflected, and guidelines from different organizations may differ. LUCID may not include every recommendation, exception, contraindication or local protocol that applies to a patient.
- Outputs depend on inputs. Results depend on the information you enter, including information read from notes you paste. Check entered and extracted values before relying on them.
- No professional relationship. Using LUCID does not create a physician and patient relationship, or any other professional relationship, between HORUS and you or any patient. HORUS does not practice medicine.
- Not for emergencies without clinical oversight. LUCID is not an emergency service and must not delay appropriate care, consultation or escalation under your institution's policies.
Doses, scores, thresholds and other calculations are provided for convenience and must be verified against the source and the patient's circumstances.
3. Patient information
LUCID is designed so that it does not need, and should not receive, information that identifies a patient. You agree not to enter, paste, upload or otherwise submit any information that identifies a patient or a patient's relatives, employers or household members, including names, medical record or account numbers, dates directly related to a person (such as dates of birth, admission or discharge), ages over 89, contact details, addresses, and any other identifier listed in the de-identification standard of the U.S. Health Insurance Portability and Accountability Act ("HIPAA") at 45 C.F.R. 164.514(b).
LUCID removes common identifiers from text in your browser before that text is sent, but this safeguard cannot recognize every identifier and is not a guarantee. You remain responsible for what you enter and for complying with HIPAA, other privacy laws, and your employer's or institution's policies. LUCID Individual plans are not offered under a business associate agreement, and you must not use them to create, receive, maintain or transmit protected health information on behalf of a covered entity. If your organization needs to use LUCID with protected health information, contact us about an organizational agreement.
4. Your account
You must provide accurate, complete and current information when you create an account and keep it up to date. Your account is for you alone: do not share your sign-in details or let anyone else use your account. You are responsible for activity under your account and for keeping your password secure. Tell us promptly at horusneurotechnologies@gmail.com if you suspect unauthorized use. You may sign in with a username and password or with a third-party sign-in service such as Google, in which case that service's terms also apply.
5. Free trial, plans and payment
Free trial. New accounts may receive a free trial with access to the features of the Individual plan. Each person may receive one free trial. No card is needed to start it. If you do not add a payment method before the free trial ends, it ends and your access returns to the free features.
Paid plans. If you add a payment method, your selected plan starts when your free trial ends, or immediately if it has already ended, and renews automatically at the end of each monthly or annual billing period until you cancel. By adding a payment method you authorize us, through our payment processor, to charge the plan price and any applicable taxes at the start of each billing period. Prices are shown on the Pricing page and in the app, and may exclude applicable sales and similar taxes.
Payment processing. Payments are processed by Stripe, Inc. You enter card details on Stripe's pages, and Stripe's terms and privacy policy apply to that processing. HORUS does not receive or store full card numbers.
Failed payments. If a payment fails, we may retry it and contact you. If payment is not completed, we may suspend or end your plan.
Price changes. We may change prices for future billing periods. We will tell you in advance, and the new price will apply from your next billing period after the notice. If you do not agree, you may cancel before the change takes effect.
Promotional offers. Discounts and promotional codes are subject to the terms stated with them, may be withdrawn at any time before they are applied, and cannot be exchanged for cash.
6. Cancellation and refunds
You may cancel at any time from Plans in your account menu. Cancellation takes effect at the end of your current billing period, and you keep access until then. Except as stated in this section or required by law, payments are non-refundable and we do not give refunds or credits for partial billing periods or unused time. If you purchase an annual plan, you may ask for a full refund within 14 days of the first annual charge by writing to horusneurotechnologies@gmail.com. Where the law of your country or state gives you additional cancellation or refund rights, those rights apply.
7. Acceptable use
Your use must also follow our Acceptable Use Policy and Transfer Restriction Notice, which form part of these Terms. You agree not to, and not to help anyone else to:
- use LUCID for any unlawful, harmful, fraudulent or misleading purpose, or in breach of professional or institutional obligations;
- enter patient identifiers or other information that you do not have the right to share;
- copy, sell, sublicense, rent, publish or redistribute LUCID or its content, or use it to build or train a competing product or service;
- reverse engineer, decompile or attempt to discover the source code, rules or data structures of LUCID, except to the extent the law expressly allows this despite this restriction;
- access LUCID by automated means, such as bots, scrapers or crawlers, or extract content in bulk, other than through features we provide;
- interfere with, overload or disrupt LUCID, test its vulnerabilities without our written permission, or bypass any security, access or usage limit;
- impersonate anyone, misrepresent your professional status, or create accounts by automated means or under false pretenses;
- upload malicious code, or use LUCID to send unsolicited communications.
8. Intellectual property
LUCID, including its software, design, rules, encodings, summaries, compilations and other content created by HORUS, is owned by HORUS or its licensors and is protected by intellectual property laws. Subject to these Terms and to payment of any applicable fees, we grant you a limited, personal, revocable, non-exclusive and non-transferable license to access and use LUCID for your own professional purposes. All rights not expressly granted are reserved.
Clinical practice guidelines and the publications cited in LUCID belong to their respective authors and publishers, including the American Heart Association and American Stroke Association, the European Stroke Organisation, Heart and Stroke Foundation of Canada and other organizations. LUCID refers to and summarizes this material for professional reference, with citations. Names of these organizations are used to identify sources only and do not imply their endorsement of LUCID. Consult the original publications for the authoritative text.
"LUCID", "HORUS NeuroTechnologies", the LUCID emblem and related names and logos are trademarks of HORUS. You may not use them without our prior written permission.
9. Feedback
If you send us suggestions, ideas or other feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use it for any purpose without obligation to you. Do not include patient information in feedback.
10. Third-party services
LUCID relies on third-party services, including hosting, database and storage providers, payment processing, email delivery and sign-in services. LUCID may also link to external websites and tools. We are not responsible for third-party services or websites, their content or their practices, and your use of them may be governed by their own terms.
11. Changes to LUCID and availability
We may add, change or remove features, content or guideline modules, and we may suspend LUCID for maintenance, security or other reasons. We try to keep LUCID available and accurate, but we do not promise that it will be uninterrupted, timely, secure or free of errors, and Individual plans do not include a service level commitment. If we discontinue LUCID entirely, we will give reasonable notice where practical and refund any prepaid fees for the period after discontinuation.
12. Disclaimer of warranties
To the fullest extent permitted by law, LUCID is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness and quiet enjoyment, and any warranties arising from course of dealing or usage. Without limiting the above, HORUS does not warrant that LUCID's content reflects the most current guidelines or evidence, that it is complete or error free, or that it is suitable for any particular patient or clinical situation. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
13. Limitation of liability
To the fullest extent permitted by law, HORUS and its owners, officers, employees, contractors and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to LUCID or these Terms, even if advised of the possibility of such damages. HORUS is not liable for clinical decisions or outcomes, which remain the responsibility of the treating professional.
To the fullest extent permitted by law, the total liability of HORUS for all claims arising out of or relating to LUCID or these Terms will not exceed the greater of the amounts you paid to HORUS for LUCID in the 12 months before the event giving rise to the claim, or one hundred U.S. dollars.
These limitations apply to all theories of liability and even if a remedy fails of its essential purpose. Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for fraud or for death or personal injury caused by negligence where the law forbids its limitation.
14. Indemnification
To the extent permitted by law, you will defend, indemnify and hold harmless HORUS and its owners, officers, employees and contractors from and against any claims, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising out of or relating to your use of LUCID, any information you submit, including any patient information, your clinical decisions, or your breach of these Terms or of any law or third-party right.
15. Suspension and termination
You may stop using LUCID and delete your account at any time. We may suspend or end your access, with or without notice, if you breach these Terms, if your use creates risk or possible legal exposure for us or others, if required by law, or if we discontinue LUCID. Sections that by their nature should survive termination will survive, including sections 2, 3, 6, 8, 9 and 12 to 18.
16. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania and applicable U.S. federal law, without regard to conflict of law rules. Before starting any formal proceeding, you agree to contact us at horusneurotechnologies@gmail.com and to try in good faith to resolve the dispute informally for at least 30 days. Except where the law of your place of residence gives you the right to bring proceedings elsewhere, any dispute arising out of or relating to LUCID or these Terms will be brought exclusively in the state or federal courts located in Allegheny County, Pennsylvania, and you and HORUS consent to the jurisdiction of those courts. To the extent permitted by law, any proceeding will be conducted only on an individual basis and not as part of a class, consolidated or representative action. Either party may seek temporary or preliminary relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
17. Export controls and sanctions
You agree to comply with all applicable export control and sanctions laws. You confirm that you are not located in a country or region subject to comprehensive U.S. sanctions and are not on any U.S. government list of prohibited or restricted parties.
18. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in LUCID before they take effect. The updated Terms apply from the effective date shown. If you continue to use LUCID after that date, you accept the updated Terms. If you do not agree, you must stop using LUCID and may cancel your plan.
19. General
These Terms, together with the Privacy Policy and any terms presented for a specific offer, are the entire agreement between you and HORUS about LUCID and replace any prior agreements on that subject. If any provision is found unenforceable, it will be enforced to the maximum extent possible and the rest of these Terms will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign or transfer these Terms without our consent; we may assign them in connection with a merger, acquisition, reorganization or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. You agree that we may send notices and communications to you electronically, by email or in LUCID, and that electronic communications satisfy any legal requirement for written communications. Headings are for convenience only, and "including" means "including without limitation".
